ARTICLE 1 – SCOPE OF APPLICATION

These General Terms and Conditions of Sale (hereinafter referred to as “GTC”) apply, without restriction or reservation, to all sales concluded by the Seller with non-professional buyers (“The Customers” or “The Customer”) wishing to purchase the products offered for sale (“The Products”) by the Seller on the website “https://www.sanochii.fr/“. The Products offered for sale on the website include, but are not limited to, reproductions of original and non-original works, and derivative products of said works.

The main characteristics of the Products, including specifications, illustrations, and indications of dimensions or capacity, are presented on the website “https://www.sanochii.fr/“, which the Customer is required to review before placing an order.

The choice and purchase of a Product are the sole responsibility of the Customer.

Product offers are subject to availability, as indicated at the time the order is placed. These Terms and Conditions are accessible at any time on the website “https://www.sanochii.fr/” and shall prevail over any other documentation.

The Customer declares having read and accepted these Terms and Conditions by finalizing the online ordering process on the website “https://www.sanochii.fr/“.

Unless proven otherwise, the data recorded in the Seller’s computer system constitutes proof of all transactions concluded with the Customer.

For orders shipped to a country other than mainland France, the Customer is the importer of the Product(s) concerned and undertakes to comply with all applicable customs regulations.

ARTICLE 2 – PRICE

The Products are supplied at the prices in effect on the website “https://www.sanochii.fr/” at the time the Seller registers the order.

Prices are expressed in Euros and include VAT.

Prices take into account any discounts offered by the Seller on the website “https://www.sanochii.fr/“.

These prices are fixed and non-negotiable during their period of validity, but the Seller reserves the right to change prices at any time outside of this period.

Prices do not include processing, shipping, transport, and delivery fees, which are charged separately, under the conditions indicated on the website and calculated before the order is placed.

The payment requested from the Customer corresponds to the total amount of the purchase, including these fees.

An invoice is issued by the Seller and given to the Customer upon delivery of the ordered Products.

ARTICLE 3 – ORDERS

The Customer is responsible for selecting the Products they wish to order on the website “https://www.sanochii.fr/“, according to the following procedure:

The customer chooses one or more Products and adds them to their shopping cart. They can then remove or modify the Products before confirming the order

They will then enter their contact information and confirm delivery. After the information has been validated, the order will be considered final and will require payment from the Customer according to the stipulated terms.

Product offers are valid as long as they are visible on the website, within the limits of available stock.

The sale will only be considered valid after full payment of the price. It is the Customer’s responsibility to verify the accuracy of the order and to report any errors immediately.

Any order placed on the website “https://www.sanochii.fr/” constitutes a distance contract between the Customer and the Seller.

The Seller reserves the right to cancel or refuse any order from a Customer with whom, but not limited to, there is an existing dispute concerning payment for a previous order.

Any cancellation of the order by the Customer after its acceptance by the Seller will only be possible within 24 hours of the Seller’s acceptance and provided that the order has not yet been handed over to the carrier (regardless of the provisions concerning the application of the statutory right of withdrawal).

ARTICLE 4 – PAYMENT TERMS

The price is payable via secure payment, according to the following method: payment by PayPal.

The price is payable in full by the Customer on the day the order is placed.

Payment data is exchanged in encrypted form using the protocol defined by the approved payment provider handling the banking transactions.

Transactions are carried out on the website “https://www.sanochii.fr/“.

Payments made by the Customer will only be considered final after the Seller has effectively received the amounts due. The Seller will not be obligated to deliver the Products ordered by the Customer if the Customer does not pay the full price under the conditions stated above.

ARTICLE 5 – DELIVERIES

Products ordered by the Customer will be delivered within Metropolitan France.

Deliveries are made within, for information purposes only, 3 to 5 days for Metropolitan France.

Delivery is constituted by the transfer to the Customer of physical possession or control of the Product.

Unless otherwise specified or in the event of unavailability of one or more Products, the Products ordered will be delivered in a single shipment.

The Seller undertakes to make its best efforts to deliver the Products ordered by the Customer within the aforementioned timeframes.

If the Products ordered have not been delivered within 20 days of the estimated delivery date, for any reason other than force majeure or the Customer’s own actions, the sale may be cancelled at the Customer’s written request under the conditions stipulated in Articles L 216-2, L 216-3 and L241-4 of the French Consumer Code. The sums paid by the Customer will then be refunded no later than fourteen days following the date of termination of the contract, excluding any compensation or deductions.

Deliveries are handled by an independent carrier to the address provided by the Customer when placing the order, provided that the carrier has easy access to this address.

When the Customer arranges for their own carrier, delivery is deemed to have been completed upon the Seller’s handover of the ordered Products to the carrier, who accepts them without reservation. The Customer therefore acknowledges that the carrier is responsible for delivery and has no recourse against the Seller for any failure to deliver the transported goods. If the Customer requests specific packaging or transport conditions for the ordered products, and these are duly accepted in writing by the Seller, the associated costs will be subject to a separate, additional invoice, based on a quote previously accepted in writing by the Customer. The Customer is required to check the condition of the delivered products. They have a maximum of 3 days from the date of delivery to file a claim by email to contact.sanochii@gmail.com, accompanied by all supporting documentation (including photos). After this period, and if these formalities have not been observed, the Products will be deemed compliant and free from any apparent defects, and no claim will be validly accepted by the Seller.

The Seller will reimburse or replace, as soon as possible and at its own expense, any Products delivered whose non-conformity or apparent or hidden defects have been duly proven by the Customer, under the conditions stipulated in Articles L217-4 et seq. of the French Consumer Code and those stipulated in these General Terms and Conditions of Sale. The transfer of risk of loss and damage relating thereto will only take place when the Customer takes physical possession of the Products. The Products therefore travel at the Seller’s risk, except when the Customer has chosen the carrier. In this case, the risk is transferred upon delivery of the goods to the carrier.

ARTICLE 6 – TRANSFER OF OWNERSHIP

Ownership of the Products will only transfer from the Seller to the Customer after full payment of the price by the latter, regardless of the delivery date of said Products.

ARTICLE 7 – RIGHT OF WITHDRAWAL

In accordance with Article L221-18 of the French Consumer Code, “For contracts providing for the regular delivery of goods over a defined period, the withdrawal period begins upon receipt of the first item.”

The right of withdrawal may be exercised using the withdrawal form available upon request by email (contact.sanochii@gmail.com) or by any other unambiguous statement expressing the intention to withdraw.

Returns must be made in their original and complete condition (packaging, accessories, instructions, etc.) allowing for their resale as new, and must be accompanied by the purchase invoice. Damaged, soiled, or incomplete products will not be accepted. Return shipping costs are the responsibility of the customer.

An exchange (subject to availability) or a refund will be processed within 14 days of the Seller’s receipt of the products returned by the customer under the conditions stipulated in this article.

ARTICLE 8 – SELLER’S LIABILITY – WARRANTIES

The Products supplied by the Seller are covered by:

The legal guarantee of conformity, for defective, damaged, or faulty Products, or Products that do not correspond to the order; and the legal guarantee against hidden defects arising from a flaw in materials, design, or manufacturing that affects the delivered products and renders them unfit for use. Provisions relating to legal guarantees: Article L217-4 of the French Consumer Code:

“The seller is required to deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery. The seller is also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation when the latter was the seller’s responsibility under the contract or was carried out under the seller’s supervision.”

Article L217-5 of the Consumer Code

“Goods conform to the contract:

1° If they are fit for the purpose for which goods of the same type are normally used and, where applicable:

if they correspond to the description given by the seller and possess the qualities that the seller presented to the buyer in the form of a sample or model; if they possess the qualities that a buyer may legitimately expect, given the public statements made by the seller, the producer, or their representative, particularly in advertising or labeling.

2° Or if they possess the characteristics defined by mutual agreement between the parties or are fit for any specific purpose sought by the buyer, made known to the seller, and accepted by the seller.”
Article L217-12 of the Consumer Code
“The limitation period for actions resulting from a lack of conformity is two years from the date of delivery of the goods.”

Article 1641 of the Civil Code.

“The seller is bound by a warranty against hidden defects in the thing sold which render it unfit for its intended use, or which so diminish that use that the buyer would not have acquired it, or would have given only a lower price, if he had known of them.”

Article 1648, paragraph 1 of the Civil Code.
“The action resulting from latent defects must be brought by the buyer within two years from the discovery of the defect.”

Article L217-16 of the Consumer Code.

“When the buyer requests the seller, during the term of the commercial warranty granted to him upon the acquisition or repair of movable property, to carry out repairs covered by the warranty, any period of immobilization of at least seven days is added to the remaining term of the warranty.” This period begins from the date of the buyer’s request for service or the date the item in question is made available for repair, if the latter is later than the request for service.
To exercise their rights, the Customer must inform the Seller in writing (email or letter) of any non-conformity of the Products or the existence of hidden defects upon discovery.

The Seller will refund, replace, or repair Products or parts under warranty deemed non-conforming or defective. Shipping costs will be refunded based on the invoiced rate, and return shipping costs will be refunded upon presentation of proof of payment. Refunds, replacements, or repairs of Products deemed non-conforming or defective will be carried out as quickly as possible and no later than 14 days following the Seller’s confirmation of the non-conformity or hidden defect. This refund may be made by bank transfer or check.

The Seller shall not be held liable in the following cases:

The photographs and graphics displayed on the website are not contractual and shall not be binding on the Seller.
The Seller’s warranty is, in any event, limited to the replacement or refund of non-conforming or defective Products.

failure to comply with the legislation of the country in which the products are delivered (it is the Client’s responsibility to verify this), misuse, use for professional purposes, negligence, or lack of maintenance by the Client, as well as normal wear and tear of the Product, accident, or force majeure.

ARTICLE 9 – PERSONAL DATA

The Customer is informed that the collection of their personal data is necessary for the sale of Products by the Seller and for their transmission to third parties for the purpose of Product delivery. This personal data is collected solely for the performance of the sales contract.

9.2 Recipients of Personal Data

Personal data is used by the Seller and its subcontractors for the performance of the contract and to ensure the efficient sale and delivery of the Products.

9.3 Data Controller

The data controller is the Seller, as defined by the French Data Protection Act (Loi Informatique et Libertés) and, as of May 25, 2018, by Regulation (EU) 2016/679 on the protection of personal data.

9.4 Limitation of Processing

Unless the Customer gives their consent, their personal data will not be used for advertising or marketing purposes.

9.5 Data Retention Period

The Seller will retain the data collected for a period of 5 years, corresponding to the applicable statute of limitations for contractual civil liability.

9.6 Security and Confidentiality

The Seller implements organizational, technical, software, and physical digital security measures to protect personal data against alteration, destruction, and unauthorized access. However, it should be noted that the Internet is not a completely secure environment, and the Seller cannot guarantee the security of the transmission or storage of information over the Internet.

9.7 Implementation of Customer and User Rights

In accordance with applicable data protection regulations, Customers and users of the website “https://www.sanochii.fr/” have the following rights:

Customers may request the deletion of their personal data, in accordance with applicable data protection laws, by writing to the address indicated in Article 9.3 “Data Controller.” They may also request the portability of the data held by the Seller to another service provider. Finally, they may object to the processing of their data by the Seller. These rights, provided they do not conflict with the purpose of the processing, may be exercised by sending a request by mail or email to the Data Controller, whose contact details are provided above. The Data Controller must respond within a maximum of one month. If the Customer’s request is refused, the refusal must be justified. The Customer is informed that in the event of a refusal, they may file a complaint with the CNIL (3 Place de Fontenoy, 75007 Paris, France) or take legal action.

The Customer may be asked to tick a box indicating their consent to receive informational and promotional emails from the Seller. They will always have the option to withdraw their consent at any time by contacting the Seller (contact details above) or by following the unsubscribe link.

ARTICLE 10 – INTELLECTUAL PROPERTY

10.1 Protected Content: All content on the website “https://www.sanochii.fr/“, including but not limited to text, graphics, images, logos, icons, sounds, videos, and interfaces, as well as their layout and arrangement, is the exclusive property of “https://www.sanochii.fr/” and is protected by French and international copyright and intellectual property laws.

10.2 Trademarks: The logos, icons, distinctive signs, and trade names displayed on the website are protected by trademark and intellectual property laws. Any use, reproduction, distribution, or representation of these trademarks without the express written authorization of “https://sanochii.sumupstore.com/” is prohibited.

10.3 Unauthorized Use: It is strictly prohibited to use, reproduce, modify, adapt, translate, transfer, distribute, download, transmit, or sell all or part of this content, in any form or by any means whatsoever, without the prior written authorization of “https://www.sanochii.fr/“.

10.4 Legal Action: “https://www.sanochii.fr/” reserves the right to take any necessary legal action in the event of any infringement of its intellectual property rights, including, but not limited to, civil and criminal proceedings.

ARTICLE 11 – APPLICABLE LAW

These Terms and Conditions and the transactions arising therefrom are governed by and subject to French law.

ARTICLE 12 – DISPUTES

For any complaint, please contact customer service at the Seller’s postal or email address indicated in ARTICLE 1 of these Terms and Conditions.

The Customer is informed that they may, in any event, resort to conventional mediation with existing sector-specific mediation bodies or to any other alternative dispute resolution method (conciliation, for example) in the event of a dispute.

All disputes arising from purchase and sale transactions concluded under these Terms and Conditions, which have not been resolved amicably between the Seller and the Customer or through mediation, will be submitted to the competent courts under the applicable laws.
